Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the OttoWorks platform (the "Service"), operated by OttoWorks ("we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Service Description
OttoWorks is a cloud-based auto shop management platform that provides tools for vehicle intake, job order management, parts inventory tracking, customer management, purchase orders, and AI-powered diagnostics through our assistant, Otto. The Service is designed for use by automotive workshops and service centers.
3. Account Terms
3.1 Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3.2 Account Security
You must notify us immediately at security@ottoworks.app if you become aware of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access due to your failure to safeguard your credentials.
3.3 User Responsibilities
You are responsible for all content you upload to the Service and for ensuring that your use complies with applicable laws and these Terms. You may not share your account credentials with unauthorized parties.
4. Subscription and Payment
4.1 Plans
OttoWorks offers Free, Pro, and Enterprise subscription plans. Details of each plan, including features and limitations, are described on our Pricing page.
4.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are stated in Ghana Cedis (GHS) unless otherwise specified. Payments are processed by Paystack, a PCI-DSS compliant payment processor.
4.3 Price Changes
We reserve the right to change subscription prices at any time. We will provide at least 30 days' notice before any price change takes effect. Continued use of the Service after the price change constitutes acceptance of the new pricing.
4.4 Taxes
You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. Where required, we will collect and remit VAT or other applicable taxes on your behalf.
5. Free Trial
New accounts include a 14-day free trial of Pro plan features. No credit card is required to start a trial. At the end of the trial period, your account will revert to the Free plan unless you subscribe to a paid plan.
We reserve the right to modify or terminate free trial terms at any time. Only one free trial is permitted per business entity.
6. Cancellation and Refunds
6.1 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.
6.2 Refunds
We do not offer refunds for partial periods. In exceptional circumstances (e.g., service outages exceeding 24 hours in a billing period), we may issue prorated credits at our sole discretion. To request a refund consideration, contact billing@ottoworks.app.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Upload or transmit malicious code, viruses, or malware
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use the Service to store or transmit content that is illegal, defamatory, or infringes third-party rights
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use automated means (bots, scrapers) to access the Service without our written permission
- Resell or sublicense access to the Service without our written consent
We reserve the right to suspend or terminate accounts that violate these acceptable use terms without notice.
8. Intellectual Property
8.1 Our IP
The Service, including all software, designs, trademarks, and content created by us, is owned by OttoWorks and protected by applicable intellectual property laws. You may not copy, modify, or distribute our proprietary materials without our prior written consent.
8.2 Your Data
You retain full ownership of all business data you input into the Service — including customer records, vehicle data, job orders, and inventory. You grant us a limited, non-exclusive license to store and process this data solely to provide the Service to you.
8.3 Feedback
If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation.
9. Data Ownership and Portability
Your business data is yours. You may export your data at any time from your account settings. Upon cancellation, we will make your data available for export for 90 days before permanently deleting it.
We will not use your business data to train AI models or share it with third parties except as described in our Privacy Policy.
10. Service Availability and SLA
We aim to maintain 99.5% uptime for the Service but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third parties, force majeure events, or factors outside our reasonable control.
Enterprise plan subscribers are entitled to a separate Service Level Agreement (SLA) specifying uptime guarantees and support response times.
11. Limitation of Liability
To the maximum extent permitted by applicable law, OttoWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service — including loss of profits, data, goodwill, or business interruption.
Our total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Termination
12.1 By You
You may terminate your account at any time by cancelling your subscription and deleting your account from account settings or by contacting support@ottoworks.app.
12.2 By Us
We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if we are required to do so by law. We may also discontinue the Service with 90 days' notice, during which you may export your data.
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Accra, Ghana.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
